1. Introduction
These Terms & Conditions govern access to and use of the iAutomation website, Client Panel, and services made available through iautomation.app.
By using the website or applicable services, you agree to these Terms to the extent applicable to your use.
If you do not agree with the applicable Terms, you should not use the relevant website or service.
2. About iAutomation
iAutomation provides business-focused AI, automation, chatbot, workflow, and related technology services.
Specific features, scope, integrations, deliverables, or functionality may depend on client requirements, technical feasibility, and the agreed scope.
General information about a service on this website does not mean that every functionality is guaranteed to be available or applicable to every client or project.
3. Enquiries and Demo Requests
Submitting a Contact form, Request Demo form, or other enquiry does not by itself:
- create a paid service agreement
- guarantee acceptance of a project
- guarantee service delivery
- guarantee a meeting or demo
- create a partnership
iAutomation may review the submitted information and contact the person to discuss the requirement.
Before a service begins, scope, pricing, responsibilities, or other applicable matters may be discussed and agreed separately.
4. Services and Scope
Specific services, deliverables, implementation details, pricing, timelines, responsibilities, support, maintenance, and other project-specific conditions may be agreed separately.
Where applicable, a Proposal, Quotation, Order, Statement of Work, or other specific agreement may supplement these website Terms.
Where separately agreed terms apply to a particular service engagement, those specific terms may govern that engagement where applicable.
5. Client Accounts
Client Panel access is for authorized users.
Users must:
- provide accurate information where required
- keep login credentials confidential
- not intentionally share access with unauthorized persons
- notify iAutomation where they become aware of unauthorized account use
- use the account only for lawful purposes
iAutomation may restrict or suspend access where reasonably necessary for security, misuse prevention, applicable non-payment, or service administration, subject to applicable agreements and law.
6. Payments and Billing
Where a service requires payment, applicable fees or charges should be communicated as part of the relevant service, purchase, or agreement.
Clients are responsible for paying agreed charges.
Payment may be handled through third-party payment service providers. The relevant provider's own Terms, Privacy Policy, and applicable conditions may also apply to the transaction.
These Terms do not create a universal payment deadline or automatic subscription renewal unless separately and clearly applicable to the relevant service.
7. Refunds and Cancellations
The same Refund or Cancellation Policy may not apply to every service.
Refunds, cancellations, or payment adjustments may depend on:
- the type of service
- work already performed
- third-party costs
- payment arrangements
- project stage
- specific agreements or agreed terms with the client
Where applicable, relevant refund or cancellation terms may be communicated as part of the particular Service, Proposal, Quotation, Order, or Payment Arrangement.
Nothing in these Terms is intended to limit any rights or remedies that cannot lawfully be excluded under applicable law.
8. Acceptable Use
Users must not knowingly use the website, Client Panel, or services to:
- violate applicable law
- gain unauthorized access to systems or accounts
- interfere with or disrupt the website or services
- introduce malware, malicious software, or harmful code
- misuse another person's account or information
- engage in fraudulent or deceptive activity
- infringe the lawful rights of others
Reasonable measures may be taken where necessary to protect the security, integrity, or lawful operation of the services.
9. AI and Automation Services
AI and automated systems cannot be guaranteed to produce outputs that are completely accurate, complete, or appropriate in every situation.
Appropriate human review may be required depending on the use case.
Users or clients should apply appropriate judgment and review, particularly where output or automated processes may affect business decisions, customer communication, or important operations.
Automation behavior and capability may depend on:
- agreed configuration
- available information
- connected systems
- third-party services
- technical feasibility
- agreed service scope
iAutomation does not claim guaranteed AI accuracy, zero errors, zero hallucinations, fully autonomous operation, or guaranteed business outcomes.
10. Client Information and Materials
Clients may provide documents, business information, content, instructions, credentials or authorized access, data, or other materials necessary for a service.
Clients are responsible for ensuring that they have appropriate authority or permission to provide and use those materials for the requested service.
iAutomation may use provided materials as reasonably necessary to perform the agreed service.
Providing business information does not automatically transfer ownership of that information to iAutomation.
11. Intellectual Property
Applicable Intellectual Property Rights in the iAutomation website, iAutomation branding, original website content, and materials owned by iAutomation remain with iAutomation or the respective rights holder.
For client-specific projects, matters relating to deliverables, software, source code, content, licenses, ownership, or usage rights may be governed by the applicable project or service agreement.
These website Terms do not automatically transfer ownership of all client deliverables to either iAutomation or the client.
12. Third-Party Services
Some iAutomation services may rely on third-party platforms, software, integrations, infrastructure, APIs, or payment services.
Those services may have their own:
- terms
- privacy policies
- pricing
- availability
- features
- usage limits
- technical restrictions
iAutomation does not control all aspects of third-party services and does not guarantee their continuous availability or unchanged functionality.
13. Service Availability and Changes
iAutomation may maintain, improve, update, or change website or service functionality from time to time.
Temporary interruptions may occur because of maintenance, technical issues, security requirements, third-party services, internet conditions, or circumstances outside iAutomation's reasonable control.
iAutomation does not guarantee 100% uninterrupted availability or uptime.
Where a change materially affects a client-specific agreed service, the matter will be handled according to the applicable agreement or circumstances.
14. Disclaimer and Liability
To the extent permitted by applicable law, iAutomation may not be responsible for losses arising solely from:
- misuse of the website or services
- unauthorized account use
- reliance on unreviewed automated output where human review is reasonably appropriate
- failures of third-party services outside iAutomation's reasonable control
Nothing in these Terms excludes or limits liability, rights, or remedies where such exclusion or limitation is not permitted by applicable law.
These basic website Terms do not establish a specific monetary liability cap.
15. Suspension or Termination
Access to the website, Client Panel, or services may be restricted, suspended, or terminated where reasonably necessary because of:
- material misuse
- security concerns
- unlawful activity
- applicable non-payment
- material breach of relevant service terms
Project-specific termination conditions may be governed by the applicable agreement or agreed terms.
16. Governing Law
These Terms & Conditions are governed by the applicable laws of Bangladesh.
If a dispute arises, the parties may first attempt to resolve the matter through reasonable communication.
Where the dispute cannot be resolved in that way, it may be handled through the appropriate legal process available under applicable law in Bangladesh.
17. Changes to These Terms
iAutomation may update these Terms & Conditions as its services, website, operations, or applicable requirements change.
The current Effective Date will be displayed on this page.
Continued use following an applicable update may be subject to the updated Terms as permitted by law.
